1 Scope and related agreements
This End User License Agreement ("EULA") governs proprietary software that FuseBase, makes available to you under this EULA ("Licensed Software"). This may include desktop and mobile applications, browser extensions, client applications, development tools, connectors and agent software, together with their documentation and updates. It applies to the individual accepting it or the organization on whose behalf that individual is authorized to act.
FuseBase provides both SaaS platform services and managed hosting services. They may be accessed through one account and included in one subscription. Access to the SaaS platform is governed by the Terms and Conditions. Managed hosting, including customer-specific virtual environments, deployment, ordinary scheduled maintenance/updates and ordinary deletion, is governed by the applicable Hosting Terms and service description. Implementation, custom development, training and other professional services are governed by the agreed order or statement of work. This EULA addresses software rights within that wider service relationship; it does not turn a hosting subscription into ownership of the server or software.
This EULA supplements the Terms and Conditions. It controls a conflict solely concerning the Licensed Software rights and express software warranty described here. A separately signed agreement and its negotiated order of precedence control conflicts concerning its subject matter. The AI Supplemental Terms govern AI functionality, and the Privacy Policy and applicable Data Processing Agreement ("DPA") govern personal-data processing. Applicable DPA, BAA and mandatory transfer provisions retain their scope and precedence. Third-party software licenses govern that software.
Accept this EULA through the acceptance mechanism provided with the Licensed Software before installing or using it. If you do not agree, do not install or use the Licensed Software. An update to this page does not by itself replace an existing signed agreement or retrospectively remove rights already granted.
2 Your software license
Subject to the applicable agreement, plan limits and payment obligations, FuseBase grants you a non-exclusive license to install and use the Licensed Software on supported devices or environments that you are authorized to use, for personal or business purposes, for the period and scope of your entitlement. You may make reasonable backup copies with the required notices intact.
Your authorized personnel may use the Licensed Software within your plan. Client, partner, portal and other external-user access, and delivery of customer-created apps or workflows, are permitted to the extent supported and authorized by the applicable service offering and third-party rights. This does not grant a general right to resell, sublicense or distribute FuseBase's proprietary software.
A free plan, subscription, one-time purchase or other entitlement has the scope and duration disclosed for that offer. This EULA does not convert an existing perpetual or fully paid software license into a recurring subscription or promise that every component, update or future feature is included.
3 Restrictions and permitted development
Except where the applicable agreement, third-party license or law permits otherwise, you must not:
- sell, rent, sublicense or distribute the Licensed Software, or provide unauthorized access to it;
- copy or modify proprietary software beyond the rights granted, or attempt to derive its source code through reverse engineering or decompilation;
- bypass license, security, access or usage restrictions;
- remove or obscure copyright, trademark or license notices; or
- use the Licensed Software unlawfully or to infringe another party's rights.
These restrictions do not prohibit development and configuration through supported APIs, SDKs, app-building tools or other expressly authorized functionality. They do not restrict rights you have under an applicable open-source or other third-party license, or mandatory rights under law.
4 Ownership and customer-created materials
FuseBase and its licensors retain their rights in the Licensed Software, including their pre-existing code, tools and documentation. The software is licensed, not sold. No trademark rights are granted except as expressly agreed or permitted by law.
Ownership of Customer Content, including customer-created code, apps, workflows, portals, configurations, prompts and agent outputs, remains governed by the Terms and Conditions and applicable AI Terms. Such materials do not become FuseBase-owned software merely because they were created using FuseBase. Third-party rights and any FuseBase components incorporated into a deliverable remain applicable. An agreed statement of work governs any additional rights in custom deliverables.
If you voluntarily provide product suggestions, FuseBase may use them to develop and improve its services without payment. This permission does not turn customer content, personal data or confidential project materials into unrestricted feedback or expand processing permissions under the DPA.
5 Third-party software and hosted applications
Open-source, source-available and other third-party components remain subject to their own licenses and notices. FuseBase grants only rights it is authorized to grant. Where a component license provides rights beyond this EULA, this EULA does not take them away.
Deployment of a third-party application through FuseBase does not transfer its ownership to FuseBase or the customer, or establish unrestricted hosting, workflow-authoring, redistribution or downstream-access rights. The applicable edition, license and service scope determine those rights. Third-party subscriptions, license keys and paid features are included only where the applicable offer says so.
You remain responsible for permitted use and customer-controlled integrations. FuseBase remains responsible for the deployment, maintenance and licensing obligations applicable to the services it undertakes. A customer acknowledgment does not transfer those obligations to the customer.
6 Updates and support
Updates and technical support are provided under the applicable product documentation, support policy, plan or service agreement. Updates may install automatically where supported by the product and its settings. We do not promise that every older version will remain supported or that every upstream release will be installed immediately.
For customer-administered installations, you are responsible for supported configurations and applying required updates within your control. For FuseBase-managed hosting, FuseBase performs the deployment and maintenance it has agreed to provide. Additional technical work is chargeable only under the applicable agreed scope and pricing. This EULA does not introduce a new uptime, response-time or restoration guarantee.
7 Privacy and connected services
Software use may involve account information, device and usage data, diagnostic records and customer content, depending on the product and configuration. The Privacy Policy, applicable product notices and DPA describe the relevant processing. Accepting this EULA is not blanket consent to every form of data processing, optional tracking or third-party use.
Connections to AI providers and other services remain subject to the relevant agreements and permissions. Use of FuseBase tools does not automatically make a customer-created implementation compliant with privacy, security or regulated-data requirements. Customer review duties do not reduce FuseBase's expressly agreed responsibilities.
8 Termination and data
The license lasts for the applicable entitlement and is subject to suspension or termination under the governing agreement and mandatory law. Ending a subscription, stopping a hosted application, closing an account and deleting data are distinct events; their effects are governed by the applicable service terms, Privacy Policy and DPA.
When your right to use Licensed Software ends, stop using it and remove copies you are no longer entitled to retain. This does not require destruction of Customer Content, copies you may lawfully retain, or software licensed independently under third-party terms. Data return and deletion remain subject to the applicable DPA and agreed service arrangements.
9 Software warranty and remedies
For Licensed Software delivered to you for installation, FuseBase retains the limited warranty that it will perform substantially according to its applicable functional documentation when used as directed for 14 days after receipt by the initial licensee. Report a covered defect within that period. FuseBase may repair or replace the software as the contractual remedy for breach of this limited warranty. Repaired or replacement software is covered for the remaining original period or 14 days after receipt, whichever is longer.
This limited warranty does not create a money-back trial or replace service-specific commitments. Subject to mandatory law and any express agreement, it does not cover problems caused by unauthorized modification, misuse, unsupported environments or failure to apply corrections that you are responsible for applying. FuseBase-managed maintenance remains our responsibility where agreed.
Except for express warranties and commitments in the applicable agreements and rights that cannot lawfully be excluded, the software is provided as is. We do not guarantee uninterrupted or error-free operation or that every defect will be corrected. Liability limitations and other remedies are governed by the Terms and Conditions or applicable signed agreement. This EULA does not impose a separate zero-liability rule on the assumption that all software is free, or override DPA, BAA or mandatory-law protections.
10 General provisions and contact
Each party must comply with export controls and sanctions applicable to its activities. Do not use the software where prohibited by law. Unless expressly agreed, the software is not designed as a fail-safe control for hazardous systems in which failure could directly cause death, serious injury or severe physical damage.
Assignment, notices, governing law and dispute resolution follow the applicable Terms and Conditions or signed agreement, subject to mandatory law and the precedence above. Any revised EULA applies through the notice and acceptance process required by the governing agreement and law.
